This is the most common case we handle. A company already incorporated in the Kingdom of Saudi Arabia (or another GCC / international jurisdiction) decides to open a branch in Dubai or Abu Dhabi. The shareholders are abroad. They cannot fly in and out every time a document needs a signature.
What you need:
A Company Formation POA from the parent-company shareholders authorising a UAE representative to sign incorporation documents.
A Board Resolution from the parent company approving the UAE branch, the appointment of the GM, and the initial capital.
Both documents must be bilingual (English ↔ Arabic), notarised in the home country, attested by the UAE Embassy and the local Ministry of Foreign Affairs, then legalised by UAE MOFA on arrival.
Once in the UAE, the documents are submitted to DED (mainland) or the relevant free zone authority along with the trade name reservation.

A Board Resolution is the company’s internal decision (passed by directors / shareholders) approving a specific corporate action — share transfer, director change, capital increase, branch opening. No. The Dubai Land Department requires a Specific Property POA that names the exact property and the precise authority granted (sale, transfer, mortgage, lease). A General POA will be rejected for property transactions.
It depends on the type. Most General POAs remain valid for the principal’s lifetime unless revoked. Company POAs are typically valid until the company is dissolved. Property POAs are usually valid for 2 years (sale) or 5 years (purchase) at DLD.
